These Terms of Service govern your use of the Charle platform, operated by Nimbey Inc. ("Charle", "we", "us", or "our"). By creating an account or using Charle, you agree to these terms. Please read them carefully.

1. The Service

Charle provides an AI-powered messaging automation platform for businesses. The platform allows you to automate customer conversations across channels including Instagram, Facebook, WhatsApp, email, and your website. Features and availability may change over time, and we reserve the right to modify or discontinue any part of the service with reasonable notice.

2. Accounts

To use Charle, you must create an account. You are responsible for:

Providing accurate account information and keeping it up to date
Maintaining the security of your login credentials
All activity that occurs under your account

You must be at least 18 years old to create an account. Accounts are for business use only.

3. Subscriptions and Billing

Charle offers paid subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis.

Subscriptions renew automatically unless cancelled before the renewal date.
You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.
We do not offer refunds for partial billing periods, except where required by law.
We may change pricing with at least 30 days notice. Continued use after a price change constitutes acceptance of the new pricing.

4. Free Trial

We may offer a free trial period for new accounts. At the end of the trial, your account will automatically convert to a paid plan unless you cancel. We reserve the right to modify or end free trial offers at any time.

5. Acceptable Use

You agree not to use Charle to:

Send spam, unsolicited messages, or communications that violate applicable laws
Harass, threaten, or deceive any person
Violate the terms of service of any connected platform (including Meta's policies for Instagram, Facebook, and WhatsApp)
Distribute malware, phishing content, or any harmful material
Scrape, reverse engineer, or attempt to extract source code from the platform
Resell or sublicense access to Charle without written permission
Use the service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms without notice.

6. Your Content and Data

You retain ownership of your content, including messages, brand assets, and customer data. By using Charle, you grant us a limited license to process and transmit this content as needed to provide the service. You are responsible for ensuring you have the rights to use any content you upload or send through the platform, and that your use complies with applicable privacy laws.

7. Third-Party Platforms

Charle connects to third-party platforms including Meta (Instagram, Facebook, WhatsApp) and email providers. Your use of these platforms is governed by their own terms of service. We are not responsible for changes to third-party platforms that affect the functionality of Charle, including API changes, policy updates, or account suspensions imposed by those platforms.

8. Intellectual Property

All rights in the Charle platform, including its design, software, and branding, belong to Nimbey Inc. Nothing in these terms gives you ownership of any part of the platform. You may not use our name, logo, or branding without written permission.

9. Disclaimers

Charle is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or that any specific results will be achieved through its use. Automated messaging performance will vary based on your industry, audience, and how campaigns are configured.

10. Limitation of Liability

To the fullest extent permitted by law, Nimbey Inc. will not be liable for any indirect, incidental, or consequential damages arising from your use of Charle, including lost revenue, lost data, or business interruption. Our total liability to you will not exceed the amount you paid to us in the 12 months prior to the event giving rise to the claim.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Delaware.

12. Changes to These Terms

We may update these Terms of Service at any time. We will notify you of significant changes by email or through the platform. Continued use of Charle after changes take effect means you accept the updated terms.
